This End User License Agreement ("Agreement") defines the legal terms between the individual or entity using the software ("End User") and the Company regarding access and use of the SayWhat? application and its related features ("Software," "Application," or "Platform"). By downloading, installing, or using the Software, the End User agrees to be bound by the terms set forth herein.
All rights, title, and interest in the Software, including all updates, enhancements, and accompanying documentation, are and shall remain the exclusive property of the Company. The Company grants the End User a limited, non-exclusive, non-transferable license to operate the Software as outlined in this Agreement. No ownership rights are transferred through this Agreement.
Use of the Software constitutes the End User's express acceptance of this Agreement. By proceeding, the End User affirms they possess the legal capacity to enter into binding contracts and agree to comply with all applicable regulations. If any term of this Agreement is unacceptable, the End User must discontinue use and remove the Software from all devices immediately.
SayWhat? is designed as a text capture and translation utility for Windows desktop environments. The Software enables users to:
All translation and language processing occurs through cloud-based language services to provide accurate and up-to-date translations.
To provide text capture and translation capabilities, the Software requires specific system-level permissions. These permissions are used for application functionality:
Important: Screen capture is used solely to identify and extract text for translation purposes. The Software does not save screenshots or images beyond the temporary processing needed for text extraction.
The Software may create desktop shortcuts and file associations to enhance user experience. Upon uninstalling the Software, these elements are typically removed automatically. In rare cases, you may need to manually remove shortcuts through your system settings, which can be done through standard Windows configuration tools.
The Company grants a revocable, personal license for non-commercial and lawful use of the Software. This license does not permit sublicensing, redistribution, reverse engineering, or unauthorized modification. Any violation, including attempts to tamper with, exploit, or commercially distribute the Software, will result in immediate license revocation and may lead to legal consequences.
The Software connects to third-party translation and language processing services to provide translation and dictionary functionality. These services may include but are not limited to machine translation APIs and language detection services. The Company assumes no liability for the content, accuracy, availability, or performance of such external resources. Translation accuracy depends on the quality of third-party services, source language complexity, and context, which are beyond our direct control.
The End User acknowledges that captured text is transmitted to these services for processing and that the privacy policies of these third-party services may apply.
The End User agrees to refrain from:
Violation of these obligations may lead to immediate termination of this Agreement and potential civil or criminal liability.
The Software incorporates proprietary content protected by applicable laws, including but not limited to copyright, patent, trademark, and trade secret laws. Except for the license expressly granted herein, no other rights are conveyed to the End User. Unauthorized use of any intellectual property associated with the Software is strictly prohibited.
The End User retains all rights to the original content they capture using the Software, but is solely responsible for ensuring such captures comply with applicable laws and do not infringe upon the rights of others.
SayWhat? processes text through cloud-based services to provide translation and dictionary functionality:
While the Software requires screen capture access to identify and extract text (as detailed in Section 4), this access is used solely for text extraction purposes. The Software captures screen regions only when you explicitly activate the text capture function. Captured images are processed locally to extract text and are then discarded—only the extracted text is sent to translation services.
The End User is solely responsible for ensuring that text they capture does not contain sensitive, confidential, or personal information that should not be processed through third-party services.

THE SOFTWARE IS PROVIDED "AS IS" AND WITHOUT WARRANTY OF ANY KIND. THE COMPANY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A SPECIFIC PURPOSE, AND NON-INFRINGEMENT.
The End User acknowledges that:
To the maximum extent permitted by law, the Company's total liability under this Agreement shall not exceed the actual amount paid by the End User for the Software. Under no circumstances shall the Company be liable for indirect, incidental, consequential, or punitive damages, including but not limited to:
Even if previously advised of the possibility of such damages.
Some jurisdictions do not allow the exclusion or limitation of liability for certain types of damages, so the above limitations may not apply to you in full. In such cases, the Company's liability shall be limited to the maximum extent permitted by applicable law.
The Company may, at its discretion, issue updates or upgrades that alter functionality, fix defects, improve performance, enhance text capture accuracy, or improve translation quality. The End User consents to the automatic installation of such updates when available. The Company reserves the right to cease supporting earlier versions at any time, with or without notice.
This Agreement shall remain in effect until terminated by either party. The End User may terminate this Agreement by uninstalling the Software and ceasing use. The Company may terminate the license immediately for any violation of its terms. Upon termination, all rights granted to the End User shall revert, and all associated files must be permanently removed from all devices.
The End User agrees to indemnify and defend the Company and its affiliates, officers, and employees against any claims, liabilities, or expenses—including legal fees—arising from:
The Company reserves the right to modify this Agreement at any time. Updates will be posted on the Company's website or within the Software interface. Continued use of the Software following such changes constitutes acceptance of the revised terms. The End User is encouraged to review this Agreement periodically.
If any provision of this Agreement is deemed invalid or unenforceable, the remaining provisions shall continue
This Agreement shall be governed by the laws of the State of Israel. All legal disputes shall be adjudicated exclusively in competent courts located in Tel Aviv, Israel. Any claim must be filed within one (1) year of the occurrence giving rise to the dispute.
The Company is not responsible for any failure to perform resulting from causes beyond its reasonable control, including natural disasters, power outages, acts of war, civil disturbances, technical malfunctions, labor disputes, governmental restrictions, or third-party service unavailability (including translation and language processing services).
By installing, accessing, or using SayWhat?, you acknowledge that you have read this Agreement, understand it, and agree to be bound by its terms and conditions. You also acknowledge that this Agreement constitutes the complete agreement between you and the Company regarding the Software.
